Terms of Service

Service Description

• Desy Guard is a B2B SaaS platform that audits codebases and design systems, extracts design tokens and UI components, generates clean documented design systems, remaps codebases to use them, and monitors for design drift continuously.
• The service is developed and operated by Brutux Studio (SIREN: 980 255 814), a design and engineering studio based in Thonon-les-Bains, France.
• By creating an account and using Desy Guard, you agree to these Terms of Service.

Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at contact@brutux.studio if you suspect unauthorized access to your account.
• You are responsible for all activity that occurs under your account.
• Each account is associated with one organization. You may not share your account across organizations without a separate subscription.
• You must provide accurate and up-to-date information when registering and keep it current.

Acceptable Use

• You agree to use Desy Guard only for lawful purposes and in accordance with these Terms.
• You must not: use the service to process codebases or design systems that you do not have the right to access; attempt to reverse-engineer, decompile, or extract the source code of Desy Guard; use automated scripts or bots to scrape, extract, or abuse the service API; resell or sublicense access to the service without written authorization; use the service in any way that could damage, disable, overburden, or impair our infrastructure.
• Violations of acceptable use may result in immediate account suspension without refund.

Billing and Subscriptions

Intellectual Property

• Your codebase and design system: you retain full ownership of your codebase, design files, and any output generated from them (extracted tokens, generated design system documentation, remapping suggestions). Brutux Studio does not claim any rights over your intellectual property.
• Desy Guard platform: Brutux Studio retains all rights to the Desy Guard platform, its source code, algorithms, AI models, user interface, and brand. You receive a limited, non-exclusive, non-transferable license to use the service during your subscription.
• Feedback: if you provide feedback or suggestions about the service, you grant Brutux Studio a royalty-free license to use and incorporate that feedback without restriction or obligation to you.

Data and Privacy

• Your use of Desy Guard is also governed by our Privacy Policy, available at /privacy.
• We process your data as described in the Privacy Policy. For customers in the European Union, we act as a data processor for the data you submit for analysis, and as a data controller for your account data.
• Upon termination of your account, we will delete your data within 30 days as described in the Privacy Policy.

Service Availability and SLA

• We aim to maintain 99.5% uptime for Desy Guard. Scheduled maintenance windows will be communicated in advance when possible.
• We are not liable for downtime caused by third-party services (GitHub, Figma, Supabase, Vercel, Stripe) or by circumstances beyond our reasonable control.
• No specific uptime SLA is guaranteed unless stated in a separate Enterprise agreement.

Limitation of Liability

• To the maximum extent permitted by applicable law, Brutux Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption.
• Our total liability to you for any claims arising from or related to these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.
• Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

Warranty Disclaimer

• Desy Guard is provided "as is" and "as available" without any warranty of any kind, express or implied.
• We do not warrant that the service will be error-free, uninterrupted, secure, or that any analysis output will be complete, accurate, or fit for any particular purpose.
• You are responsible for validating any design system output or remapping suggestions before applying them to production codebases.

Termination

• You may terminate your account at any time. We may suspend or terminate your account immediately if you breach these Terms.
• Upon termination, your right to access the service ends. We will retain your data for up to 30 days after termination, after which it will be permanently deleted.
• Sections on intellectual property, limitation of liability, and governing law survive termination.

Governing Law and Jurisdiction

• These Terms are governed by French law.
• Any dispute arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Thonon-les-Bains, France.
• Consumers residing in the European Union may benefit from additional consumer protection rights under their local law.

Changes to These Terms

• We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect.
• Continued use of the service after the effective date of changes constitutes acceptance of the updated Terms.
• The current version of these Terms is always available at /terms.
